The ’Gift It Forward with Pepsi’ Holiday Promotion (the “Promotion”) consists of a random chance Instant Win Program (“Instant Win Program”) as well as a Grand Prize Sweepstakes. The Promotion is open only to legal residents of the United States, residing in one of the fifty (50) United States or the District of Columbia, who are 18 years (19 in AL/NE) or older at the time of entry.


  • START/END DATES:
The Promotion begins at 12:00 a.m. Eastern Time (ET) on October 21, 2019 and ends at 11:59 p.m. ET on December 31, 2019 (“Promotion Period”). The time clock of the Webmaster will be the official time clock.


  • HOW TO PARTICIPATE:
There are (2) ways to enter the Promotion: (a) via QR code, or (b) NO PURCHASE NECESSARY.

(a) QR Code: Look for the QR code on specially-marked Pepsi 12 pack can and mini can packages to play from your mobile device (“Mobile Device”). By scanning the QR Code, you will be taken to a unique URL and advised to follow the on-screen instructions. Once you have checked the box to accept the Official Rules you will be given the opportunity for one (1) game play (a “Game Play”). Upon completion of the Game Play you will be advised if you have received an instant win (the “Gift”). Regardless of whether you receive a Gift or not, you will be required to register for the Promotion (the “Registration”) to be entered into the applicable Grand Prize Drawing (see Rule 6 below) for a chance to win a Grand Prize (see Rule 7 below). Game Play and Registration must be submitted by 11:59 p.m. ET on December 31, 2019. Data rates may apply if participating via a mobile device. After you have logged in or registered for the Promotion, if you are eligible to participate for a Local Prize (“Local Prize”), you will be advised if you are a winner or not (the “Instant Win Local Game”). Not all areas will have an Instant Win Local Game (see Rule 8 below).

Regardless of the method of participating, there is a limit of five (5) Game Plays/Requests for free Game Play per person/per day.

An individual submitting a Game Play is referred to in these Official Rules as a “Participant”. By submitting a Game Play, a Participant fully and unconditionally agrees to be bound by these Official Rules and the decisions of Sponsor and its appointed agents, which will be final and binding in all matters relating to the Promotion. By registering (for new Participants) or by logging in (for existing Participants) for the Promotion after their Game Play, Participants are automatically entered into the Grand Prize Sweepstakes drawing (the “Sweepstakes Drawing”) and if eligible, Participant will be advised if they are a winner or not in the Local Prize Instant Win Game (the “Local Prize Instant Win Game”).


  • ELIGIBILITY: Open to legal residents of the United States, residing in one of the fifty (50) United States or the District of Columbia, who are 18 years (19 in AL/NE) or older at the time of entry.   • Odds of Receiving an Instant Win Gift:
Instant Win Gifts will be awarded based on a computer-generated formula seeded throughout the Promotion Period. Odds of winning any prize depend on the number of valid Game Plays, number of prizes remaining in the Promotion at the time of Game Play and the number of days remaining in the Promotion Period.

The Gift is redeemable only on the valid link by receiving a winning message. A screen shot of a Congratulatory/Winning message is not sufficient proof of being awarded a Gift. If the Participant has been awarded a Gift, the Participant must register for the Promotion and follow the online instructions to determine to whom the Gift will be distributed (the “Gift Recipient”). The potential Gift Recipient may choose one (1) of three (3) options:

Option 1 The Gift Recipient may choose to transfer the Gift to one (1) of their friends or family members. The Participant who is the Gift Recipient and their friend or family member must meet all of the eligibility requirements of these Official Rules, agree to be bound by these Official Rules and complete any documents provided by the Sponsor in order to transfer the Gift to their friend or family member. If the individual to whom the Gift Recipient chooses to transfer the Gift decides not to accept the Gift, is ineligible to accept the Gift, or the intended recipient has not followed the directions in the e-mail to claim the Gift within two (2) weeks of receiving notification, the Gift will revert back to the Participant who will be required to keep the gift for themselves, provided they meet all of the eligibility requirements and other requirements of these Official Rules.

Option 2 The Gift Recipient may choose to donate their Gift to a charity listed on the Website – such as the United Way organization. The Gift may be acknowledged directly from the United Way or other listed charity upon notification of the donation, but the actual donation will not transfer to the United Way or other listed charity until sixty (60) days after the end of the Promotion Period.

Option 3 The Gift Recipient may choose to keep the Gift for themselves, provided they meet all of the eligibility requirements and other requirements of these Official Rules.

The Gift may only be transferred OR donated OR kept by the Participant. The dollar value of a Gift cannot be split between/among the options. By way of example, if the Participant is awarded $75, the Participant cannot choose to give $25 to a friend, $25 to United Way, and $25 to themselves. The Gift must be transferred OR donated OR kept by the Participant in its entirety. Once the Participant decides which option they choose (Option 1 Gift to a friend/family member, or Option 2 donate, or Option 3 keep for themselves), that decision cannot be changed.

All federal, state, and local taxes, fees, and surcharges on any Gift are the sole responsibility of Gift Recipient with respect to Options one (1) and three (3) above. With respect to Option 1, the individual to whom the Gift is transferred may be issued a 1099 for the value of the Gift. If the Participant chooses to keep the Gift for themselves, a 1099 for the value of the Gift may be issued to the Participant. Recipients of Gifts with a total value of $600 or more will be issued an IRS Form 1099-MISC early in the year following the year in which Gift was awarded for filing with his/her federal and state tax returns. Sponsor complies with all tax reporting requirements. The amount of any tax liability will vary depending on winner’s tax bracket.

For Option 2, the Gift will be transferred directly from Sponsor to United Way or other charity and therefore no 1099 will be issued since the Gift was not awarded to the Participant and likewise the donation cannot be a tax deduction for the Participant.

All potential Gift Recipients are subject to verification by Sponsor. Sponsor will not accept screen shots or other evidence of being eligible to receive a Gift in lieu of its validation process.

6. Grand Prize Drawing: In order to be automatically entered into the Grand Prize Drawing the Participant must register or log in after their Game Play. There are eight (8) Grand Prize period drawings during the Promotion Period. Each of the Grand Prize period drawings will award one (1) Grand Prize. Entries are only valid for that Period’s drawing and non-winning entries will not roll over to a future drawing. All Grand Prize period drawing dates begin at 12:00:01 a.m. ET and End at 11:59:59 p.m. ET. Each drawing will occur the following business day from the end of the period.

7. Grand Prize: Eight (8) Grand Prizes will be awarded, each consisting of one (1) trip for Winner and one (1) guest to the St. Regis at Rio Grande Hotel in Puerto Rico. Trip consists of round-trip coach air transportation on Jet-Blue Airlines (or other airline at Sponsor’s sole discretion) from major airport nearest winner’s home, double-occupancy hotel accommodations for four (4) nights (selection of airline/airport/hotel is at Sponsor’s sole discretion), ground transportation to and from the airport and hotel in Puerto Rico, and four hundred dollars ($400.00) spending cash (awarded to the Winner in the form of a check). Approximate Retail Value of each Grand Prize Drawing: $7,700.00. Actual value may depend on city/date/time of departure. Grand Prize may not be transferred or donated. Grand Prize trip must be booked by 5/31/20, and travel must be completed by 12/31/20. Limit one (1) Grand Prize per address/household. Total ERV of Grand Prizes is $61,600.00.

Winner will be required to provide a credit card prior to check-in and is solely responsible for all incidental charges, and may be required to sign an additional liability release for the use of the accommodations. Travel and accommodations are subject to availability and change. Ground transportation (other than as stated above), meals, gratuities and all other expenses not specified herein as part of the prize are solely winner’s responsibility. All travel is subject to availability, government restrictions and regulations, hotel, airline, airport or other transportation terminal (or other types of transportation) restrictions and regulations. Other restrictions may apply. Sponsor assume no responsibility for canceled, delayed, suspended or rescheduled events (including, but not limited to airline flights) or any acts or omissions whatsoever by prize providers or any other persons providing any prize-related services or accommodations beyond its control. In the event winner and/or his/her guest misses a scheduled airline flight (through no fault of Sponsors or due to Force Majeure), Sponsor will have no liability for any costs associated with changing or rebooking transportation. Winner and guest must have all necessary identification and/or travel documents (e.g. passport, valid U.S. driver’s license or other TSA required documents) required for travel. Winner and guest must travel on same itinerary. Winner’s guest (or if a minor, his/her parent or legal guardian who must be the winner) will be required to complete and return a Liability/Travel Release. If winner cannot travel on the dates specified, prize may be forfeited. Winner and/or guest must abide by all venue policies. Sponsor and/or venue operator reserves the right to revoke full or partial prize from winner and/or any guest who it and/or venue personnel deem may, in their sole discretion, to have violated any venue policy or law, and/or may bring Sponsor and/or venue operator into disrepute. Seating assignments are at the sole discretion of the Sponsors. Winner is responsible for any loss of prize or portion of any prize after it has been delivered. Sponsor will not replace any lost or stolen portion of the prize. Winner must accept prize as stated by Sponsor or prize may be forfeited.
 
8. Local Prize Instant Win Game: Some regions will have Local Prizes which are identified in Rule 9 below. For those regions which have a local prize, the Participant will be allowed one (1) Local Game Play after they have registered for the National Promotion to see if they are a Local Prize Winner. The Local Prizes will be awarded based on a computer-generated formula seeded throughout the Promotion Period. Odds of winning any prize depend on the number of valid Local Game Plays, number of prizes remaining for each of the prizes stated below in the Promotion at the time of Local Game Play and the number of days remaining in the Promotion Period.

9. Local Prizes: For all Local Prizes you must be a legal resident of the United States residing in one of the eligible states (each a “State of Eligibility”). For all Local Prizes, selection of game, concert, event, seating, and/or dates are at the sole discretion of Sponsor. There are one hundred sixty-four (164) Local Prizes available to be won during the Promotion Period. There will be a pre-determined computer-generated winning time seeded over the course of Local Prize Instant Win Game. If your Local Instant Win Game Play is the first one received on or just after the one of those predetermined times, you will be eligible to win the Local Prize designated to that time. Odds of winning a Local Prize will depend on the time your Local Game Play is received and the total number of eligible Local Game Plays received. Limit 1 Local Prize per person/email/address.

10. WINNER SELECTION, NOTIFICATION, AND VERIFICATION FOR ALL PRIZES:
There are seventeen thousand two hundred fifteen (17,215) Instant Win Gifts available to be won during the Promotion Period. There will be a total of seventeen thousand two hundred fifteen (17,215) random, pre-determined computer-generated winning times seeded over the course of the Promotion Period. In addition, there are one hundred sixty-four (164) Local Prizes available to be won during the Promotion Period. There will be a total of seventeen thousand three hundred seventy-nine (17,379) random, pre-determined computer-generated winning times seeded over the course of the Promotion Period. If your Instant Win Game Play, as described above, is the first one received on or just after one of those predetermined times, you will be eligible to win the Local Prize designated to that time. Odds of winning an Instant Win Prize will depend on the time your Game Play is received, and the total number of eligible Game Plays received. 11. RELEASES:
If the Participant transfers the Instant Win Gift to a friend or family member, that individual will receive their instructions on how to accept the Gift. Return of any Gift email or notification as undeliverable may result in disqualification and Gift will revert back to the Participant who must meet all eligibility requirements and other requirements of these Official Rules. If neither the Participant nor their friend or family member is eligible to receive the Gift, the Gift will not be awarded. 12. ADDITIONAL TERMS:
Sponsor reserves the right to alter, suspend, or terminate the Promotion at any time and with or without notice if, in Sponsor’s sole discretion, the integrity of the Promotion becomes or is likely to become compromised in any way. In the event the Promotion is terminated prematurely, all eligible entries received prior to the Promotion termination or suspension date will be included in the next prize drawing. No automated devices, bots, and/or other programs and/or software are permitted. All entries become the sole and exclusive property of Sponsor and will not be acknowledged or returned. Delivery of a prize will require a street address located within the United States. Sponsor is not responsible for late, incomplete, invalid, unintelligible, misdirected, technically corrupted, or garbled entries, which will be disqualified, or for problems of any kind, whether mechanical, human, or electronic. Only fully completed entries are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor.
In case of a dispute as to the identity of any QR code entrant, or Participant an entry will be declared as made by the authorized account holder of the Mobile Device used for entry. In case of a dispute as to the identity of any Internet entrant, an entry made by Internet will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The “authorized account holder” is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry.
If for any reason the Promotion is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, automated entries, fraud, technical failure, human error, or any other cause beyond the control of Sponsor that corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify, or suspend the Promotion. Sponsor assumes no responsibility for any error, omission, interruption, telephone or other communications malfunctions, deletion, defect, delay in operation or transmission, communications line failure, or theft or destruction of, unauthorized access to, or alteration of entries. Sponsor is not responsible for any problems or technical malfunctions of any telephone networks or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any website, any combination thereof, or otherwise, including any injury or damage to entrant’s or any other person’s computer related to, or resulting from, participation or downloading of any materials in the Promotion.
Sponsor and its agents are not responsible for printing, distribution, or production errors and may, in their sole discretion, rescind, cancel, suspend, modify, or revoke this Promotion based upon any such error without liability. If by reason of a printing, computer, or other error more prizes are awarded in a prize category than the number set forth in these Official Rules, all persons purportedly making valid claims will be included in a random drawing to award the advertised number of prizes available. In no case will more than the advertised number of prizes be awarded. Antifraud detection devices may be used for verification purposes. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control.
